1. Acceptance of Terms

By accessing or using ZeroOps ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

1.1 Eligibility

You must be at least 18 years old to use our Services. By using ZeroOps, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

1.2 Authority

If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.

2. Description of Service

ZeroOps provides operational resources, educational content, and community access for entrepreneurs and business owners. Our Services include:

  • Community features including messaging and discussions
  • Live sessions, workshops, and events
  • Direct support and guidance

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. Account Registration

3.1 Account Information

You must provide accurate, current, and complete information when creating an account. You agree to update your information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 One Account Per Person

Each individual may only maintain one account. Creating multiple accounts to circumvent restrictions or abuse our Services is prohibited.

4. Subscription Plans and Billing

4.1 Subscription Model

Access to ZeroOps requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually) depending on your selected plan.

4.2 Payment Processing

Payments are processed through Whop, our third-party payment provider. By subscribing, you agree to Whop's terms of service and authorize recurring charges to your payment method.

4.3 Pricing Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

5. Cancellation and Refunds

5.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting support@zeroops.co. Cancellation will take effect at the end of your current billing period.

5.2 No Refunds

Refunds are not provided for partial billing periods. If you cancel mid-cycle, you will retain access until the end of your current billing period but will not receive a prorated refund.

5.3 Effect of Cancellation

Upon cancellation, you will lose access to premium content, community features, and other subscription benefits at the end of your billing period.

6. Acceptable Use Policy

You agree not to:

  • Share your account credentials or allow others to access your account
  • Copy, redistribute, or resell any content without express permission
  • Use our Services for any illegal or unauthorized purpose
  • Harass, abuse, or harm other members of the community
  • Post content that is defamatory, obscene, or infringes on others' rights
  • Attempt to circumvent security measures or access restrictions
  • Use automated tools to scrape, download, or access our content
  • Interfere with or disrupt the integrity of our Services
  • Impersonate any person or entity or misrepresent your affiliation

7. Intellectual Property

7.1 Our Content

All content, materials, templates, courses, and other intellectual property provided through ZeroOps are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our content for your personal and internal business purposes only.

7.3 Restrictions

You may not reproduce, distribute, modify, create derivative works from, publicly display, or sell any of our content without our express written consent.

8. User Content

8.1 Your Content

You retain ownership of any content you post, share, or submit through our Services ("User Content"). You are solely responsible for your User Content and the consequences of posting it.

8.2 License to ZeroOps

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating and providing our Services.

8.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

9. Community Guidelines

When participating in our community features, you agree to conduct yourself professionally and respectfully:

  • Treat all members with respect and courtesy
  • Engage in constructive discussions and provide helpful feedback
  • Respect the privacy and confidentiality of other members
  • Report violations or inappropriate behavior to our support team
  • Refrain from spam, self-promotion, or off-topic content

Violations of our community guidelines may result in warnings, suspension, or termination of your account.

10. Third-Party Services

10.1 Payment Processing

We use Whop to process payments and manage subscriptions. Your use of Whop is subject to their terms of service and privacy policy.

10.2 External Links

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites.

11. Disclaimers

11.1 As-Is Service

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guaranteed Results

We do not guarantee any specific business outcomes, revenue increases, or other results from using our Services. Success depends on many factors beyond our control.

11.3 Educational Content

Our content is for educational and informational purposes only and does not constitute professional, legal, financial, or business advice. You should consult qualified professionals for specific advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZeroOps and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

14. Dispute Resolution

14.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

14.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.3 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

14.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@zeroops.co within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York.

16. Termination

16.1 Termination by ZeroOps

We may suspend or terminate your account and access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include violations of these Terms, fraudulent activity, or extended periods of inactivity.

16.2 Termination by You

You may close your account at any time by canceling your subscription and contacting support@zeroops.co to request account deletion.

16.3 Effect of Termination

Upon termination, your right to access our Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also notify you via email.

Your continued use of our Services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using our Services.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZeroOps regarding your use of our Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
